Benjamin Panter is a partner in the Firm's Tax Department and member of the Employee Benefits and Executive Compensation Group. His practice focuses on advising private and public companies, private equity funds, senior executives and entrepreneurs on a wide variety of executive compensation matters, including structuring and implementing management equity arrangements and incentive equity and cash bonus plans.
He counsels clients on benefits and compensation matters arising in a variety of corporate transactions, including mergers & acquisitions, restructurings, debt and equity offerings and bankruptcies, the treatment of stock options and other equity awards, change-in-control and "golden parachute" tax issues, severance obligations and other related issues. He has an active practice representing compensation committees, chief executive officers and other senior corporate executives in the negotiation and structuring of executive employment and severance agreements, and frequently represents management teams in private equity deals and other mergers and acquisition transactions. His practice also involves advising on the laws governing non-competes, employee classification and compliance with IRC Section 409A, IRC Section 162(m) and Item 402 of Regulation S-K.
